Sales & delivery conditions

These “Sale and delivery conditions” apply to all purchases from Conxion A/S, CVR no. 40 65 23 96, e-mail: , phone: +45 55 77 75 90 (hereinafter “Conxion”). Consumers cannot shop at Conxion unless a separate agreement is entered into.


1. Order, order confirmation and cancellation

1.1 A customer can place an order for goods which are forwarded to Conxion per e-mail to or submitted by telephone on +45 55 77 75 90.
1.2 Conxion is not obliged to accept orders and reserves the right to cancel or reject such orders. A binding agreement with Conxion regarding the delivery of goods is only entered into when the customer has received a written order confirmation. This applies regardless of oral or written offers from Conxion. Possibly. discrepancies in an order confirmation must be notified in writing to Conxion within 3 days.

1.3 If a product is ordered with a logo, a proof with a proposal for logo placement is sent for the customer’s approval. The customer is obligated to approve and/or comment on the proof within 2 business days after receipt. If the customer does not approve the proofreading, there is a risk that the delivery time, price and possibly other order details stated on the order confirmation cannot be complied with.

1.4 The customer and Conxion can each cancel an order until the correction has been approved or the deadline for approval has expired.

1.5 Conxion reserves the right to a 10% over- or under-delivery.


2. Terms of payment and retention of title

2.1 Payment must be made no later than 8 days after delivery, unless otherwise stated in the order confirmation.

2.2 If an invoice is paid after the last timely payment date according to the invoice, 2% interest accrues per commenced month after due date. When sending a payment reminder, a reminder fee of DKK 100 per dunning letter, but a maximum of 3 dunning fees.

2.3 Conxion retains title to goods delivered under these Terms of Sale and Delivery until full payment has been received.


3. Prices

3.1 The price of the customer’s order appears in the order confirmation and is in DKK excl. VAT, unless otherwise stated.

3.2 Delivery/freight costs will be added to the price. Delivery/freight costs will be stated on the order confirmation.


4. Delivery

4.1 Delivery in Denmark takes place Ex Works (Incoterms 2010) to the customer at the time and place stated in the order confirmation. If delivery takes place no later than 7 days after the said time, delivery is considered timely, unless otherwise agreed in writing.

4.2 Delivery to EU countries can only take place if Conxion arranges the shipment.

4.3 Delivery to countries outside the EU takes place Ex Works (Incoterms 2010).


5. Defects and complaints

5.1 If the delivered goods do not correspond to the specifications provided by Conxion or are not of usual quality, the following shall apply:

5.2 It is the responsibility of the customer – immediately and no later than 8 days after receipt – to notify Conxion in writing of such errors and defects in the delivered goods that the customer has or should have discovered at the time of delivery. Upon delivery, the customer has a general duty to inspect the goods.

5.3 If the customer has or should have discovered the defect, and has not complained as stated, the customer cannot later assert the defect.

5.4 Conxion is entitled – but not obliged – to deliver a new fault-free product or to carry out remedial action to the extent that this is possible. The buyer’s only right of default is cancellation of the transaction and demand for repayment of any amount paid if the deficiency is significant. Otherwise, the customer can only demand a proportional reduction in the purchase price.

5.5 To the extent that these are separately produced goods, including products that have been manufactured according to the customer’s specifications, the customer cannot demand remedial action. Regardless of this, Conxion will at all times offer remedial measures, if this is possible and appropriate in Conxion’s assessment.


6. Limitation of liability

6.1 Conxion is not responsible for the customer’s losses, including any direct or indirect losses, e.g. operating losses, lack of profit, reduced operations or the like. This applies regardless of whether an item is delayed and/or defective.

6.2 Conxion’s liability for damages is in any case limited to the value of the order.

6.3 Notwithstanding the above, Conxion is responsible for product liability in respect of delivered goods to the extent that such liability follows from mandatory legislation. If Conxion should be held liable for product damage in relation to a third party, the customer is obliged to indemnify Conxion for the liability that Conxion may be held liable for, which is higher than Conxion’s liability according to the aforementioned provision.


7. Personal data

7.1 Conxion does not pass on the customer’s e-mail address(es) or other personal information to third parties, unless this is for the purpose of fulfilling the order or is otherwise in accordance with the personal data legislation in force at any time.


8. Force majeure

8.1 In all force majeure situations over which Conxion has no influence, such as storms, natural disasters, war and unrest, strikes, labor disputes, etc., Conxion is entitled to postpone the delivery. If Conxion wants to rely on this provision, the customer must be informed of this without undue delay.


9. Choice of law and venue

9.1 All agreements and transactions covered by these Terms and Conditions of Sale and Delivery are governed by Danish law, however the CISG (International Sales Law) does not apply.

9.2 Any dispute that may arise must be settled by the court in the jurisdiction where Conxion is domiciled.


10. Changes

10.1 Conxion can change these Terms and Conditions of Sale and Delivery without prior notice.
